1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Transparency Motors LLC ("Company," "we," "us," or "our"), a Minnesota limited liability company. By accessing our website at transparencymotors.com or engaging any of our services, you confirm that you have read, understood, and agree to be bound by these Terms.
If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Services We Provide
Transparency Motors provides business infrastructure services including, but not limited to:
- LLC and corporate entity formation (all 50 states)
- EIN procurement and business documentation
- Vehicle history report procurement (Carfax, Autocheck)
- Commercial fleet and equipment sourcing
- Custom web development and software engineering
- Merchandise, apparel, and print sourcing
- Business credit building and personal credit repair consulting
- Brand identity design and marketing collateral
- General business consulting and operational support
The scope, timeline, and pricing of each engagement will be agreed upon in writing (email, text, or formal agreement) prior to work commencing.
3. Eligibility
You must be at least 18 years of age to use our services or enter into an agreement with us. By engaging our services, you represent that you meet this requirement and that any information you provide is accurate, complete, and current.
4. Payment Terms
Project-Based Services: Fees are quoted on a per-project basis. A deposit (typically 50%) is required before work begins. The remaining balance is due upon completion or delivery, unless otherwise agreed in writing.
Sourcing Services: For procurement and sourcing, we charge a service fee or wholesale markup. The total cost (including our fee) will be disclosed before any purchase is made on your behalf.
Vehicle History Reports: Payment is due at the time of the report request. Reports are non-refundable once generated, as the data has been retrieved from third-party databases.
Retainer Services: Monthly retainers are billed at the start of each billing cycle and are non-refundable for the current cycle once work has commenced.
Late Payments: Invoices unpaid after 15 days may accrue a late fee of 1.5% per month. We reserve the right to pause or terminate services for non-payment.
5. Refund Policy
- LLC Filings: Refunds on filing fees are not available once documents have been submitted to the state. Our service fee may be refunded if filing has not yet been initiated.
- Vehicle Reports: No refunds on generated reports. Data accuracy depends on third-party database providers (Carfax, Autocheck) and we are not liable for incomplete records.
- Web Development: Deposits are non-refundable. Milestone payments may be reviewed on a case-by-case basis if the project is cancelled before completion.
- Sourcing: Refunds on sourced goods are subject to the vendor's policies. We will advocate on your behalf but cannot guarantee third-party refunds.
6. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide accurate, complete, and timely information as requested
- Respond to communications within reasonable timeframes
- Review and approve deliverables within agreed timelines
- Pay invoices by the due dates specified
- Not use our services for any illegal, fraudulent, or deceptive purpose
7. Intellectual Property
Our IP: All content on our website — including text, design, code, graphics, and branding — is owned by Transparency Motors LLC and protected by applicable copyright and trademark laws. You may not reproduce or use this content without written permission.
Work Product: Upon full payment, custom deliverables created specifically for your engagement (e.g., custom websites, logos, software) become your property. We retain the right to display the work in our portfolio unless you request confidentiality in writing.
Third-Party Materials: Vehicle history report data belongs to Carfax, Autocheck, or their respective owners. Our role is procurement only — we make no ownership claims over that data.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. We will not disclose your business plans, financial information, or personal data to third parties except as required to deliver the service or as required by law.
9. Limitation of Liability
To the fullest extent permitted by law, Transparency Motors LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount you paid us for the specific service giving rise to the claim in the 90 days preceding the claim.
We are not attorneys, CPAs, or licensed financial advisors. Our LLC formation and credit services are administrative in nature and do not constitute legal or financial advice. You are responsible for consulting appropriate licensed professionals for legal and tax matters specific to your situation.
10. Vehicle History Reports — Special Terms
Vehicle history reports are sourced from third-party data providers (Carfax, Autocheck). By requesting a report, you acknowledge that:
- Report accuracy depends entirely on data reported to national databases
- Not all vehicle events (accidents, title issues) are guaranteed to appear
- We do not warrant the completeness or accuracy of third-party data
- Reports are for informational purposes only and do not guarantee vehicle condition
- You will not resell or redistribute report data in violation of provider terms
11. Termination
Either party may terminate an engagement with written notice (email is sufficient). Upon termination:
- You are responsible for payment for all work completed up to the termination date
- We will deliver any completed deliverables upon receipt of outstanding payment
- Neither party waives any rights or claims accrued prior to termination
We reserve the right to terminate service immediately and without refund if you engage in abusive behavior, fraudulent activity, or violation of these Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved by binding arbitration in Olmsted County, Minnesota, unless both parties agree to another venue in writing.
You waive any right to participate in class action lawsuits against Transparency Motors LLC.
13. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted to this page with a revised "Last Updated" date. Your continued use of our services after changes constitutes acceptance. We encourage you to review these Terms periodically.
14. Entire Agreement
These Terms, together with any project-specific agreements or invoices, constitute the entire agreement between you and Transparency Motors LLC regarding our services and supersede all prior understandings, representations, or agreements.
